A limited liability company is the usual choice for mainland Dubai. It can trade across the UAE, take government contracts, and hire without a facility cap. The authorities set the registration process in a fixed order. We run that process for clients every week, from trade name to a Dubai mainland license, and the sequence below matches the government’s published order.

Skip a step and the next one will fail. Follow the sequence and a straightforward LLC moves along quickly.

Step 1: Choose Your Business Activity

Everything else starts here. The activity you choose decides your licence category, whether another authority has to approve it, and in some cases whether you can own 100% of the company.

The Ministry of Economy and Tourism sets out six licence categories: commercial, professional, industrial, crafts, tourism, and agricultural. Use the activity code, not just a plain-English description. Two activities that sound the same can fall under different categories and follow different approval routes.

If you plan to do more than one thing, list every activity now. Adding activities later means amending the licence and paying again.

Step 2: Choose Your Legal Form

An LLC is only one of several legal forms. The Ministry also lists partnership, limited partnership, public joint stock company, private joint stock company, and branch of a foreign company. Sole establishments and civil companies are for professional activities.

Most trading and service businesses choose an LLC because it limits liability and gives more flexibility on shareholders. Ownership rules changed with the 2021 reform, and it is worth confirming the position for your activity before you draft anything. Step 3: Reserve and Register the Trade Name

Trade names have rules. No religious references. No names of government bodies. No offensive terms. Abbreviations of a personal name are not accepted, so “A. Khan Trading” fails where “Ahmed Khan Trading” passes.

Reserve the name through the Department of Economy and Tourism. The reservation is time-limited, so move on to the next step right away.

Step 4: Apply for Initial Approval

Initial approval means the government has no objection to the activity. It is not the licence. It only confirms you can continue with the remaining steps.

Foreign shareholders usually need passport copies at this stage. Corporate shareholders need company documents, usually attested in the home country first. Attestation takes time, so start early.

Step 5: Draft and Notarise the Memorandum of Association

The MoA sets out the shareholders, share split, management structure, and how decisions are made. For an LLC, this is the document that defines control.

Treat the profit split and manager appointment carefully here. Changing either one later means amending and re-notarising the MoA, along with the fees that go with it. The notary will want the document in Arabic or bilingual form.

Step 6: Choose and Register Your Premises

Mainland companies need a real address with a registered tenancy contract. The Ministry lists the lease contract registration certificate among the documents needed to complete licensing.

Two things come from the premises. The annual market fee is based on the rent. Your visa quota also depends on the size of the unit. Choosing space for the rent alone, without checking the quota it supports, causes problems later.

Step 7: Get Any External Approvals

Some activities need a second authority to sign off before the licence is issued. The Ministry names the Ministry of Interior, the Ministry of Justice, and health authorities among the bodies involved, depending on the activity.

Transport, legal, medical, education, food, and financial activities often fall into this group. Each approval has its own documents and timeline. This step decides whether your setup takes one week or two months.

Step 8: Receive Your Trade Licence

Once the approvals are in place and the fees are paid, the Department of Economy and Tourism issues the licence. This is the document that makes the company real. The type of UAE trade licence you receive matches the category you chose in step one.

Step 9: Register With the Chamber of Commerce

The last official step is registration with the Chamber of Commerce. Commercial companies in Dubai register with the Dubai Chamber, and membership renews every year along with the licence.

After the Licence: What Comes Next

Registration does not end the setup. Three things follow right away.

Establishment card and visas. You apply for the immigration establishment card, then for each visa. Each one goes through entry permit, medical, Emirates ID, and stamping.

Bank account. Banks run their own checks on the company, the activity, and the shareholders. Expect several weeks and a minimum balance requirement.

Tax registration. Corporate tax registration applies to UAE companies. VAT registration becomes mandatory once turnover crosses the threshold, and it can also be done voluntarily below it.

How Long the Whole Process Takes

A clean LLC with no external approvals, a straightforward name, and ready attested documents can move through in a few days once the tenancy is in place. Add an external approval and the timeline stretches to weeks. Add foreign corporate documents that still need attestation and it stretches further, because that work happens outside the UAE and outside your control.

The two things that shorten the setup are choosing the activity correctly in step one, and starting document attestation before step four.
