Most guides explain how to get a free zone licence. Fewer explain what happens a year later. Renewal is where people slip, because the deadline arrives with paperwork that has quietly gone stale. Renewal is annual, with longer options
A free zone trade licence usually runs for one year and renews annually. Some zones offer longer terms.
Jafza allows renewal for up to three years, but only for companies holding a plot and sublease facility with more than three years of validity remaining. Some other zones also offer multi-year licences at a discount. They cut down admin, but they also lock you into one facility, so they suit settled businesses more than early-stage ones.
The rest of this article assumes the annual cycle, since that is how most companies renew.
Start three months before expiry
This is the one date worth remembering. Jafza says a trade licence can be renewed within three months before expiry.
Three months sounds generous until you look at what has to happen inside it. A tenancy or facility agreement may need renewing first. Passport copies may have expired. A corporate shareholder’s certificate of good standing may need to be issued, notarised and sometimes attested, and that can happen in another country on someone else’s timetable.
Treat the expiry date as the deadline for the last signature, not the day you start the process.
What the zones ask for
Requirements vary by zone and company type, but the file usually looks the same. RAKEZ’s own renewal service card lists the documents needed for a free zone renewal:
- Valid passport copies for individual shareholders, directors and managers, where the copies on file have expired
- For a UAE-registered corporate shareholder, a valid trade licence copy
- For a corporate shareholder registered outside the UAE, a certificate of good standing or commercial register extract, notarised
- No objection certificates from any regulatory authority, where the activity needs them
- Two signed copies of the lease agreement for any physical facility such as an office, warehouse or land
Jafza’s list follows a similar pattern and also asks for an operational fitness certificate. Overseas branches there must also provide a good legal standing certificate and an incumbency certificate.
RAKEZ describes renewal as instant once every requirement is satisfied. That is the part to remember. The delay is rarely the renewal itself. It is putting the file together.
The four things that block a renewal
An expired facility agreement. Your licence sits on top of a facility. If the flexi-desk or office agreement has lapsed, the licence cannot renew until it is back in place.
Expired identity documents. A passport renewed in the last year means new copies. A director who changed passport and never told anyone is a common reason for delay.
Outstanding fines or dues. Unpaid amounts to the zone, or unresolved immigration matters, hold the file.
Missing regulatory approval. Activities that needed an external authority’s sign-off at setup often need it again at renewal.
Immigration renewals run alongside
The trade licence is not the only thing on a yearly clock. The immigration establishment card renews too, and residence visas for you and your staff run on their own cycles.
In practice, they are linked. An expired establishment card blocks visa processing. An expired licence blocks the establishment card. Missing the licence renewal therefore stops more than trading, which is why a single missed deadline can freeze new hires and visa renewals at the same time.
Keep one calendar for the licence, the establishment card, the facility agreement and each visa.
What an expired licence costs
Zones charge for late renewal. Jafza applies a fine of AED 1,000 for delay in renewing an expired licence.
The fine is usually not the biggest problem. An expired licence can suspend visa processing, and banks may restrict account activity for a company whose licence is no longer valid. Customers who check your licence status will see an expired document. If you are mid-contract, that is a harder conversation than the fine.
Amounts and rules differ by zone, so check your own zone’s schedule rather than assuming Jafza’s figure applies everywhere.
What renewal costs
Renewal is usually cheaper than year one, because one-off registration and incorporation items do not repeat. The recurring items are the licence fee, the facility fee, the establishment card and any per-visa costs.

A renewal checklist
Ninety days out: check the facility agreement expiry and start any renewal it needs.
Sixty days out: check every passport on file and order any corporate documents that need issuing or attesting abroad.
Thirty days out: clear outstanding fines and confirm regulatory approvals are still current.
Two weeks out: submit the file and confirm the establishment card and visa dates that follow.
